1. Acceptance of Terms
By accessing or using any website, platform, mobile application, API or service provided by InfoTrack Telematics Pvt Ltd ("InfoTrack", "we", "our", "us"), you ("Client", "User", "you") agree to be bound by these Terms & Conditions ("Terms"). If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.
If you do not agree to these Terms, you must immediately cease using our services. These Terms constitute a legally binding agreement between you and InfoTrack Telematics Pvt Ltd, a company incorporated under the Companies Act, 2013, with its registered office at Savithru, 39/1, 2nd Floor, 1st Cross, Malleshwaram, Bangalore 560 003, Karnataka, India.
2. Definitions
- "Services" means the fleet telematics SaaS platform, MDVR video analytics, GPS tracking, geofencing, driver behaviour monitoring, reporting dashboards, APIs and any other products offered by InfoTrack.
- "Platform" means the InfoTrack cloud-based software and mobile applications through which Services are delivered.
- "Fleet Data" means GPS coordinates, vehicle diagnostics, speed logs, route history, driver behaviour events, fuel data and MDVR video footage generated by your vehicles using InfoTrack hardware or APIs.
- "Hardware" means GPS tracking units, MDVR devices, dash cameras, OBD dongles and other physical devices supplied or certified by InfoTrack.
- "Subscription" means the time-bound, fee-based right to access and use the Platform granted under a signed Order Form or Purchase Order.
- "Authorised Users" means your employees, contractors and agents permitted by you to access the Platform under your account.
- "Order Form" means a written or electronic agreement specifying the Services, subscription term, vehicle count and commercial terms.
3. Services & License
3.1 License Grant
Subject to your compliance with these Terms and timely payment of fees, InfoTrack grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your internal fleet management purposes during the Subscription term.
3.2 Scope of Services
InfoTrack provides the following core Services (subject to your subscribed plan):
- InfoSmart: Real-time GPS tracking, geofencing and trip history.
- InfoVision (MDVR): 4-channel AI video telematics with driver behaviour detection, live streaming and cloud storage.
- InfoFleet: Complete fleet management including maintenance, compliance and fuel monitoring.
- InfoRMC: Ready-mix concrete drum tracking and plant dispatch management.
- InfoBusz: RFID attendance, passenger tracking and parent alerts for school and corporate buses.
- InfoWFM: Workforce attendance, task dispatch and field-force tracking.
- InfoEmergency: SOS panic alerts, emergency dispatch and incident management.
- InfoAssure: Asset geofencing, theft detection and insurance-grade telematics reporting.
3.3 API Access
If your subscription includes API access, you may integrate InfoTrack data into your own systems strictly in accordance with our API documentation. API rate limits and fair-use thresholds apply as specified in your Order Form.
3.4 Updates & Modifications
InfoTrack reserves the right to update, modify or discontinue features of the Platform at any time. We will provide at least 30 days' advance notice for material changes that remove core functionality. Minor improvements and bug fixes may be deployed without prior notice.
4. Account Registration & Security
To access the Platform you must create an account and provide accurate, complete information. You are responsible for:
- Maintaining the confidentiality of your account credentials.
- All activity that occurs under your account, whether authorised or not.
- Promptly notifying InfoTrack of any suspected unauthorised access or security breach at info@infotracktelematics.com.
- Ensuring Authorised Users comply with these Terms.
InfoTrack implements multi-factor authentication (MFA) for admin accounts. You agree to enable MFA when prompted and to follow our security configuration guidelines.
5. Acceptable Use Policy
You agree to use our Services only for lawful fleet management purposes. You must not:
- Reverse engineer, decompile or disassemble any part of the Platform.
- Resell, sublicense or white-label the Platform without a written reseller agreement.
- Use the Platform to track individuals without their knowledge in violation of applicable privacy laws, including the Digital Personal Data Protection Act, 2023 (DPDPA).
- Attempt to gain unauthorised access to other customers' data or InfoTrack's infrastructure.
- Use the Platform to transmit malware, spam or any illegal content.
- Circumvent or disable any security, usage-limit or licensing control built into the Platform.
- Use automated scraping tools, bots or scripts to extract data beyond your permitted API usage.
- Share login credentials across multiple organisations or resell account access.
InfoTrack reserves the right to suspend accounts that violate this policy without prior notice. Repeated or severe violations may result in permanent termination.
6. Data Ownership & Privacy
6.1 Your Data
You own all Fleet Data generated by your vehicles and Authorised Users. InfoTrack processes this data solely on your behalf as a data processor. We do not sell, share or use your Fleet Data for any purpose other than delivering and improving the Services you have subscribed to.
6.2 Driver Data
When the Platform processes personal data about your drivers (GPS location, driving behaviour events, MDVR footage), you are the data controller and InfoTrack is the data processor under the DPDPA 2023. You are responsible for obtaining valid consent from your drivers and for complying with all applicable labour and privacy laws. Our standard Data Processing Agreement (DPA) governs this relationship.
6.3 MDVR Video Footage
Video footage captured by InfoVision MDVR devices is stored in encrypted form in our Indian data centres (AWS Mumbai / Hyderabad). Default retention is 30 days; configurable up to 90 days. Footage is accessible only to your authorised admin users and InfoTrack staff for support purposes.
6.4 AIS-140 Compliance
For vehicles mandated under MoRTH's AIS-140 GPS reporting requirements, InfoTrack transmits location data to the National Informatics Centre (NIC) server on your behalf. This constitutes a statutory obligation and cannot be opted out of for AIS-140 enrolled vehicles.
6.5 Privacy Policy
Our collection and use of personal data in connection with the website is governed by our Privacy Policy.
7. Intellectual Property
All rights, title and interest in the Platform, including software, algorithms, AI models, dashboards, reports, documentation and branding, are and remain the exclusive property of InfoTrack Telematics Pvt Ltd and its licensors. Nothing in these Terms transfers any IP rights to you.
You may not copy, reproduce, distribute or create derivative works of any InfoTrack content without prior written consent. The InfoTrack name, logo and product names (InfoSmart, InfoVision, InfoFleet, InfoRMC, InfoBusz, InfoWFM, InfoEmergency, InfoAssure) are registered or common-law trademarks of InfoTrack Telematics Pvt Ltd.
Feedback: Any suggestions, ideas or improvement requests you provide to InfoTrack may be used by us freely without obligation of compensation or attribution.
8. Payment Terms & Billing
8.1 Fees
Subscription fees are as specified in your Order Form. All fees are in Indian Rupees (INR) and are exclusive of applicable taxes (GST, etc.) unless stated otherwise.
8.2 Invoicing & Payment
InfoTrack issues invoices monthly, quarterly or annually as agreed in your Order Form. Payment is due within 30 days of invoice date unless otherwise agreed. Overdue amounts attract interest at 1.5% per month.
8.3 Vehicle Count
Subscriptions are priced per active vehicle per month. If you add vehicles mid-cycle, pro-rated charges apply from the date of activation. Vehicles deactivated mid-cycle are not eligible for pro-rated refunds unless agreed in writing.
8.4 Price Changes
InfoTrack may revise subscription pricing with 60 days' written notice prior to your next renewal date. Continued use of the Services after the effective date of the price change constitutes acceptance.
8.5 Taxes
You are responsible for all applicable taxes, duties and levies arising from your use of the Services, including GST. InfoTrack will include applicable GST on all invoices in compliance with Indian GST law.
9. Service Availability & SLA
9.1 Uptime Commitment
InfoTrack targets 99.5% monthly uptime for the Platform (excluding scheduled maintenance and force majeure events). Uptime is measured across all core services including GPS tracking, MDVR streaming and the web dashboard.
9.2 Scheduled Maintenance
Planned maintenance windows are communicated at least 48 hours in advance via email and in-app notification. Maintenance is typically scheduled between 01:00–04:00 IST on weekdays to minimise disruption.
9.3 Incident Response
In the event of a platform outage or degraded service:
- Critical (complete outage): Initial response within 1 hour; target resolution within 4 hours.
- High (major feature unavailable): Response within 4 hours; resolution within 24 hours.
- Medium (partial degradation): Response within 8 hours; resolution within 72 hours.
9.4 Support
Technical support is available Monday–Saturday, 09:00–18:00 IST via phone, email and the in-app support portal. Enterprise clients with a dedicated SLA agreement receive 24/7 support coverage.
10. Hardware & Devices
10.1 Hardware Supply
GPS tracking units, MDVR devices and associated hardware may be supplied by InfoTrack under a separate hardware agreement or procured by you from InfoTrack-certified vendors. Hardware is covered by a standard 12-month warranty against manufacturing defects.
10.2 Installation
Hardware must be installed by InfoTrack-certified technicians. Damage arising from self-installation or installation by uncertified third parties voids the warranty and may affect service quality. InfoTrack is not liable for damage to vehicles caused by improper installation by uncertified parties.
10.3 Device Ownership
Unless otherwise agreed in the Order Form, hardware supplied by InfoTrack remains the property of InfoTrack until full payment is received. On termination of the Subscription, hardware must be returned in working condition or purchased at the then-current market rate.
10.4 SIM Cards & Connectivity
Where InfoTrack provides SIM cards for vehicle connectivity, data usage is governed by our network partner's fair-use policy. Excessive data consumption beyond the subscribed plan may attract additional charges.
11. Limitation of Liability
To the maximum extent permitted by applicable law:
- InfoTrack's total aggregate liability to you for all claims arising under or in connection with these Terms shall not exceed the total fees paid by you to InfoTrack in the three months immediately preceding the event giving rise to the claim.
- InfoTrack shall not be liable for any indirect, incidental, consequential, special or punitive damages, including loss of profits, loss of data, business interruption or loss of goodwill, even if advised of the possibility of such damages.
- InfoTrack is not liable for fleet accidents, traffic violations, driver conduct, fuel losses or any real-world events. Our platform is a monitoring and alerting tool. Operational decisions remain with you.
- GPS accuracy is subject to signal conditions, terrain, device calibration and network availability. InfoTrack does not warrant that location data will be 100% accurate at all times.
Nothing in these Terms limits liability for death or personal injury caused by gross negligence, fraud or fraudulent misrepresentation, or any liability that cannot be excluded under Indian law.
12. Indemnification
You agree to indemnify, defend and hold harmless InfoTrack Telematics Pvt Ltd and its directors, officers, employees and agents from and against any claims, liabilities, damages, losses, costs and expenses (including reasonable legal fees) arising from:
- Your breach of these Terms or any applicable law.
- Your use of the Platform in a manner not permitted by these Terms.
- Your failure to obtain driver consent for telematics data collection as required by the DPDPA 2023.
- Any third-party claims arising from your Fleet Data or business operations.
- Unauthorized modification, damage or misuse of InfoTrack hardware.
13. Termination
13.1 Termination by You
You may terminate your Subscription at the end of the current billing period by giving 30 days' written notice to your InfoTrack account manager. No refunds are issued for the remaining period unless otherwise agreed in your Order Form.
13.2 Termination by InfoTrack
InfoTrack may terminate or suspend your account with immediate effect if you:
- Fail to pay any undisputed invoice within 60 days of the due date.
- Breach any material provision of these Terms and fail to remedy the breach within 14 days of written notice.
- Become insolvent, enter liquidation or are subject to insolvency proceedings.
- Use the Platform for illegal activities or in a way that harms InfoTrack or other customers.
13.3 Effect of Termination
Upon termination: (a) your license to use the Platform ceases immediately; (b) you must return or facilitate collection of any InfoTrack hardware; (c) InfoTrack will provide a data export file of your Fleet Data within 30 days of request; (d) InfoTrack will delete your Fleet Data after 60 days unless legally required to retain it. Clauses relating to IP, limitation of liability, indemnification and governing law survive termination.
14. Governing Law & Dispute Resolution
These Terms are governed by the laws of India, including the Information Technology Act, 2000 (as amended), the Indian Contract Act, 1872 and the Digital Personal Data Protection Act, 2023, without regard to conflict-of-law principles.
14.1 Amicable Resolution
In the event of a dispute, both parties agree to first attempt resolution through good-faith negotiation for a period of 30 days from written notice of the dispute.
14.2 Arbitration
If the dispute is not resolved within 30 days, it shall be finally settled by binding arbitration under the Arbitration and Conciliation Act, 1996 (as amended). The arbitration shall be conducted by a sole arbitrator mutually appointed by both parties, in Bangalore, Karnataka, and in the English language.
14.3 Jurisdiction
Subject to the arbitration clause above, both parties submit to the exclusive jurisdiction of the courts of Bangalore, Karnataka for interim or injunctive relief.
15. Changes to These Terms
InfoTrack reserves the right to update these Terms at any time. When we make material changes, we will notify you by email and/or in-platform notification at least 14 days before the changes take effect. Your continued use of the Services after the effective date constitutes acceptance of the revised Terms.
